Terms of Service
These terms govern your use of ClearVisibility. They cover what you get on each plan, how billing and renewal work, how we handle a price change, and how to cancel.
Who we are
ClearVisibility is operated by John Reed Associates Consultancy Ltd, a company registered in England and Wales (Company No. 11238800), whose registered office is Gateshead International Business Centre, Mulgrave Terrace, Gateshead, NE8 1AN. You can reach us at info@clearvisibility.co.uk.
Plans and pricing
- Community — free, for as long as you want it. No payment details required.
- Professional — US$100 per month, or US$1,000 per year (a saving of two months on the monthly rate).
- MultiUser — for teams needing multiple named users and access separation. Priced by arrangement; talk to us.
Prices are quoted excluding tax. VAT, GST or local sales tax is calculated and added at checkout according to where you are. We publish local prices in pounds sterling, euros and Australian dollars; elsewhere you are charged in US dollars converted at the payment provider's prevailing rate.
A subscription covers one ClearVisibility site. Community remains available to you whether or not you ever subscribe.
How you buy
You subscribe from inside the product: install ClearVisibility, then choose your plan on the upgrade screen. Your licence activates automatically once payment completes — there is no licence key to copy or enter.
Payment and the merchant of record
Our order process is conducted by our online reseller Paddle.com, which is the Merchant of Record for all our orders. Paddle handles the transaction, collects payment, and is responsible for charging and remitting the applicable transaction taxes. Your payment card details are provided to and held by Paddle; we never see or store them.
Paddle's own terms and refund handling apply to the transaction alongside these terms. Your invoice and payment receipts come from Paddle.
Billing, renewal and cancellation
- Paid plans renew automatically — monthly plans each month, annual plans each year — until you cancel.
- You may cancel at any time. Cancellation stops the next renewal; it does not end the period you have already paid for.
- After cancellation you keep full access until the end of your current paid period, then the site returns to the Community plan. Your data is not deleted — you keep access to it on Community.
- We do not issue partial refunds for an unused part of a period you have already started, except where the law requires it or where the circumstances in "Refunds" below apply.
Refunds
If ClearVisibility does not work as described and we cannot put it right, contact us at info@clearvisibility.co.uk and we will refund the period in question. We will also refund a payment taken in error, or a renewal you did not intend where you tell us promptly after it is charged.
Because Community is free and unlimited in time, you can evaluate ClearVisibility fully before paying anything — we do not run separate paid trials.
Refunds are processed by Paddle back to the original payment method.
Changes to your subscription price
We may change our prices, and when we do these commitments apply to you:
- How often. We will not change the price of your subscription more than once in any twelve-month period.
- How much. Any increase will not exceed the change in the UK Consumer Prices Index over the preceding twelve months plus 3 percentage points — except where we have added significant new capability, in which case we will tell you what has been added.
- Notice. We will give you at least 30 days' written notice before a new price takes effect.
- When it applies. A new price takes effect at your next renewal date. It never applies part-way through a period you have already paid for.
- Your price is held for twelve months. If we change our prices, your existing subscription stays on the price you are already paying for at least twelve months from the date the new price takes effect for new customers.
- If you do not accept it. You may cancel before the new price takes effect; your subscription then ends at the close of your current paid period and you are not charged the new price.
- Taxes. Prices exclude VAT, GST and other transaction taxes. These are added at checkout and may change independently of this section if a tax rate changes.
Your licence to use ClearVisibility
While your subscription is active we grant you a non-exclusive, non-transferable right to use ClearVisibility for your own organisation's internal IT management. You may not resell it, offer it as a service to third parties, or attempt to copy, decompile or reverse-engineer it, except to the extent the law allows regardless of contract.
You are responsible for the systems you connect and for holding the necessary authority to scan or inventory them.
Your data
You own the data ClearVisibility collects about your estate. We process it to provide the service. How we handle personal data is set out in our Privacy Policy; for customer data processed inside the product, the relevant customer agreement and data processing terms apply.
Availability and support
ClearVisibility runs on your own infrastructure or on the desktop, so availability is largely in your hands. We provide product updates and support appropriate to your plan. We do not guarantee that the software is free of every defect, and we will fix problems within a reasonable time of them being reported.
Ending the agreement
You may stop using ClearVisibility at any time. We may suspend or end an account that is used unlawfully, that breaches these terms, or where payment fails and remains unresolved after we have asked you to fix it.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, our total liability in connection with the service is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect or consequential loss, or for loss of profit, revenue or data.
ClearVisibility reports on your IT estate to help you make decisions; it does not replace your own judgement, security controls or professional advice.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Changes to these terms
We may update these terms; the "last updated" date above shows when they last changed. Where a change materially affects you, we will tell you before it takes effect.
